Pre-IPO Funding and IPO Readiness Checklist

# Pre-IPO Funding and IPO Readiness Checklist Pre-IPO readiness is the work of testing whether a company’s records, governance, financial information and operating processes can support a possible public-market transaction. Readiness is not the same as eligibility, approval or a decision to list.

Company and governance

  • Reconcile the share register, ownership history, options and material agreements.
  • Confirm board processes, delegated authorities, related-party records and corporate filings with counsel.
  • Identify ownership, intellectual-property or contract issues that could complicate diligence.

Financial reporting and controls

  • Align audited statements, management accounts, forecasts and operating metrics.
  • Document definitions and assumptions behind key metrics.
  • Establish a close calendar, review responsibilities and evidence for material estimates.
  • Test whether systems can produce timely, consistent information for management and external review.

Business, risk and disclosure

  • Explain the business model, revenue drivers, customer concentration and key dependencies.
  • Identify material risks and how management monitors them.
  • Check that public statements can be supported by records and do not overstate projections.
  • Prepare a controlled process for reviewing disclosures and answering diligence requests.

Funding and route decision

Build a financing plan for readiness costs and operating needs, but do not assume pre-IPO capital will be available on a given timetable or valuation. Compare private financing and other alternatives. Identify who will give legal, accounting, tax and securities advice, and what each role covers.

The relevant exchange and current SEBI framework determine the actual requirements. NSE’s current Emerge criteria are one source for that platform; verify the applicable route rather than treating this checklist as a regulatory test.
